Terms of Service

Waveform License Manager

Effective date: October 21, 2026

1. Who we are and what these terms cover

These terms are between you and Waveform Inc, a Nevada corporation with its address at 23438 Toronja Corte, Corona, CA 92883, USA ("we", "us"). They cover your use of the Waveform License Manager (the "Service"): the hosted API that issues, validates and revokes license keys for software you sell, the plugins and SDKs we supply to connect it to your store and your software, and the account dashboard.

They apply to accounts created at waveformanager.com, whether Free or paid. If you install the Waveform License Manager Shopify app, they apply to you as well, and you accept them by installing and using the app. Shopify handles billing for Shopify plans.

You accept these terms by ticking the box where you create or upgrade an account. We record which version you accepted and when.

2. Your account

You must give a real email address, be authorized to act for the store you name, and keep your account details and merchant key confidential. You are responsible for activity under your key. Tell us promptly if it is compromised. You can rotate it from your dashboard at any time.

3. Plans and payment

A Free plan is available at no charge and needs no payment details.

Paid plans are billed monthly or yearly, as you choose at checkout, in advance through Paddle. Paddle is the merchant of record and handles payment, tax and invoices, and Paddle's terms apply to the purchase. Paid plans start with a 14-day free trial. A payment method is taken at checkout, and you are charged when the trial ends unless you cancel first.

Subscriptions renew until canceled. You can cancel at any time through the link in your Paddle receipt or by emailing support@waveformanager.com, and you keep access until the end of the paid period. If a payment fails, Paddle retries it and your plan stays active meanwhile. If it cannot be collected, the subscription ends and your account moves to the Free plan.

To change plan, email us and we will make the change in Paddle, which prorates according to its terms.

Refunds are covered in the Refund Policy.

4. Plan limits

Each plan has limits on products and active licenses, shown on the pricing page. The Free plan includes 1 licensed product and 50 active licenses. The product limit applies when you add a new product. Products you already have keep working.

We do not stop issuing licenses to your customers because you have passed the active-license limit, but we may ask you to change plan. We do not delete licenses you have already issued if you downgrade or cancel.

Emails we send to your customers carry a "Powered by Waveform License Manager" line on every plan.

5. Acceptable use

Do not use the Service to license software you have no right to distribute, to attack or overload the Service, to resell access to it, or to break the law.

We may suspend an account that does. Where we can, we will tell you first. Suspension revokes your merchant key. Licenses already issued keep working.

6. Your customers' data

You are the controller of your customers' personal data held in the Service, and we process it on your behalf to provide the Service. The Privacy Policy describes what we do with it. We offer a data processing agreement on request at support@waveformanager.com.

7. Software we supply

The SDK is licensed to you under the SDK license you accept before downloading it. The WooCommerce plugin is provided so you can connect your store to the Service, and any license file included with it governs its code. The JUCE kit is open source under the MIT license included with it.

8. Availability

We aim for the Service to be reliable and offer a live status check at docs.waveformanager.com/status, but we do not promise uninterrupted operation.

Software that has already activated an offline license keeps verifying it on the device during an outage, within your product's offline grace period. New activations, validations and online checks need the Service. How your software behaves when it cannot reach the Service is your decision.

9. Ending the relationship

You can cancel a paid subscription at any time and keep access until the end of the paid period. When it ends, your account returns to the Free plan. Your merchant key keeps working, your products and the licenses already issued to your customers are not deleted, and the Free plan's limits apply to anything new.

You can ask us to delete your account at any time by emailing support@waveformanager.com from the address on the account. We will delete it within 30 days. Cancel any paid subscription first, because deleting the account does not cancel it. Deleting the account deletes its licenses, and your customers' software stops working as each license's period and offline grace end. We will offer you an export first.

We may suspend or close an account for a material breach after notice.

If a paid Shopify plan ends without you choosing another, new devices cannot activate until you choose a plan.

10. Warranties and liability

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement.

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim arising out of the Service is limited to the greater of the amount you paid for the Service in the 12 months before the claim and US$100.

Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, or any right you have as a consumer under the law where you live.

11. Changes, law and contact

We may update these terms. We will give notice of material changes by email or in your dashboard at least 30 days before they take effect, and the effective date above will change.

These terms are governed by the laws of the State of Nevada, USA, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Nevada, and you and we consent to their jurisdiction.
